Terms of Use

PLEASE READ THESE TERMS OF USE CAREFULLY. BY CLICKING “I AGREE,” CHECKING THE ACCEPTANCE BOX, OR SUBMITTING AN APPLICATION THROUGH THE PLATFORM, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT ACCESS OR USE THE PLATFORM.
ScaleUp Summit is a structured, multi-market technology evaluation and readiness program operated by Cuemby LLC, doing business as ScaleUp Summit Network (“ScaleUp,” “we,” “our”). The Program is designed to evaluate and prepare technology companies for scaling, expansion, and investment readiness through technical and operational assessment frameworks, structured events, and ecosystem connections.
These Terms of Use (“Terms”) govern your access to and use of the ScaleUp Summit Platform, your participation in the Program, and all interactions with ScaleUp, its Sponsors, and its Partners. They constitute a binding legal agreement between you and Cuemby LLC.
The following terms have the meanings set forth below throughout these Terms:
· “Platform” means the ScaleUp Summit online application, assessment tools, participant portal, and any associated digital interfaces operated by Cuemby LLC.
· “Program” means the ScaleUp Summit structured evaluation and readiness program, including all associated events, assessments, workshops, and post-event activities.
· “Participant” means any individual or organization that applies to, registers for, or takes part in the Program through the Platform.
· “Program Outputs” means deliverables generated by ScaleUp as a result of the assessment process, including the Tech Readiness Score, gap analysis, and optimization roadmaps.
· “Sponsors” means organizations that provide financial or in-kind support to ScaleUp Summit in exchange for defined benefits, including potential access to Participant data subject to consent.
· “Partners” means third-party organizations that participate in the ScaleUp Summit ecosystem through technical sessions, clinics, or post-event engagements, other than Sponsors.
· “Content” means any information, data, materials, or submissions provided by a Participant through the Platform.
To access the Platform and participate in the Program, you must:
· Be a duly organized company or represent one with authority to bind it to these Terms
· Provide accurate, complete, and current information during the application and registration process
· Not be prohibited from participating under applicable law in your jurisdiction
ScaleUp reserves the right to verify eligibility at any stage and to deny or revoke access if eligibility requirements are not met. Acceptance of an application does not guarantee selection for the full Program or any specific Program activity.
Access to the Platform requires registration. By registering, you represent that all information provided is accurate and current. You are responsible for:
· Maintaining the confidentiality of your access credentials
· All activity that occurs under your account
· Notifying ScaleUp immediately of any unauthorized use at contact@scaleupsummit.network
ScaleUp reserves the right to suspend or terminate Platform access at any time for any reason, including but not limited to violation of these Terms, submission of inaccurate information, or misconduct during the Program. Participants may withdraw from the Program at any time by notifying ScaleUp in writing at contact@scaleupsummit.network. Upon withdrawal, data handling is governed by the Privacy Policy.
Submission of an application does not guarantee participation in the Program or selection for any event, showcase, or post-event activity. ScaleUp retains sole discretion over participant selection, event curation, and Program composition. No right of appeal exists in respect of selection decisions.
By participating in the Program, you agree to:
· Provide accurate, truthful, and complete information throughout the Program
· Respect the confidentiality of other Participants’ information and business data
· Engage professionally and in good faith with ScaleUp, Sponsors, Partners, and other Participants
· Use any shared information, introductions, or connections responsibly and solely for legitimate business purposes
· Comply with all applicable laws and regulations in your jurisdiction
Participants may not:
· Submit false, misleading, or fraudulent information at any stage of the Program
· Reproduce, distribute, or publicly disclose the ScaleUp assessment methodology, scoring framework, or Program Outputs without prior written authorization from Cuemby LLC
· Use the Platform or Program for any unlawful purpose or in any manner that disrupts the experience of other Participants
· Attempt to gain unauthorized access to any part of the Platform or to other Participants’ data
· Engage in conduct that is abusive, harassing, or damaging to the reputation of ScaleUp, its Sponsors, Partners, or other Participants
ScaleUp reserves the right to revoke participation, restrict Platform access, and withhold Program Outputs from any Participant found to be in violation of these Terms, without liability or refund obligation.
The Platform, the ScaleUp assessment methodology, scoring framework, Tech Readiness Score, TechScore, Program Outputs, gap analyses, optimization roadmaps, branding, and all related tools, models, reports, and content are the exclusive intellectual property of Cuemby LLC. Nothing in these Terms transfers, licenses, or implies any rights to any of the foregoing beyond a Participant’s right to use their own Program Outputs for internal business purposes.
Participants retain ownership of the Content they submit through the Platform. By submitting Content, you grant Cuemby LLC a non-exclusive, royalty-free, worldwide license to use that Content for the following purposes:
· Delivering the Program and generating Program Outputs
· Generating anonymized benchmarks and ecosystem analytics
· Improving the accuracy and performance of ScaleUp's assessment methodology and related products, including TechScore, on an anonymized basis
· Marketing Cuemby LLC products and services to you based on your assessment results and identified technical gaps
This license does not include the right to identify you in external publications or promotional materials without your separate consent.
Participants may not reproduce, distribute, reverse-engineer, publicly disclose, or create derivative works from the ScaleUp methodology, scoring framework, or Platform without prior written authorization from Cuemby LLC.
Your use of the Platform and participation in the Program is also governed by our Privacy Policy, available at www.scaleupsummit.network/privacy, which is incorporated into these Terms by reference. By accepting these Terms, you acknowledge that you have read and understood the Privacy Policy.
The Privacy Policy governs the collection, use, sharing, and protection of your personal and business information, including data shared with Sponsors and Partners subject to your consent. In the event of any conflict between these Terms and the Privacy Policy on matters of data collection and use, the Privacy Policy shall prevail.
As part of the Program, Sponsors may receive identifiable Participant data — including company profile, contact details, and Program Outputs — in exchange for their sponsorship of ScaleUp Summit. This sharing occurs only where you have provided explicit, affirmative consent through a standalone consent checkbox at registration, separate from your acceptance of these Terms. Where consent has not been given, Sponsors receive only aggregated or anonymized insights from which no individual Participant can be identified. You may withdraw your consent to identifiable data sharing at any time by contacting privacy@scaleupsummit.network. Withdrawal does not affect sharing that occurred prior to receipt of your withdrawal request.
ScaleUp may use your assessment results and identified technical gaps to market Cuemby LLC products and services to you. This is a legitimate business interest directly related to the Program. You may opt out of these communications at any time by using the unsubscribe link in any communication or by contacting us at contact@scaleupsummit.network.
Program Outputs, including the Tech Readiness Score, gap analysis, and optimization roadmaps, are generated through ScaleUp’s proprietary automated assessment methodology. Participants have the right to request human review of any Program Output they believe is inaccurate or incomplete by contacting ScaleUp at contact@scaleupsummit.network. ScaleUp will acknowledge human review requests within 5 calendar days and provide a substantive response within 30 calendar days.
Program Outputs are provided for informational and planning purposes only. They do not constitute:
· Financial, legal, investment, or professional advice of any kind
· A guarantee, certification, or audited assessment of any company’s technical maturity or readiness
· A representation that a Participant will receive funding, investment, partnerships, or any specific business outcome
All decisions made in reliance on Program Outputs are the sole responsibility of the Participant.
The Platform is provided “as is” and “as available” without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. ScaleUp does not warrant that:
· The Platform will be available, uninterrupted, or error-free at all times
· Any errors or defects will be corrected
· The Platform or its servers are free of viruses or harmful components
ScaleUp reserves the right to modify, suspend, or discontinue any feature or functionality of the Platform at any time without notice or liability.
ScaleUp Summit operates within a multi-partner ecosystem. Participants acknowledge that:
· Interactions with Sponsors and Partners are a designed component of the Program experience
· Sponsors may engage with Participants through workshops, clinics, networking sessions, and post-event follow-ups
· ScaleUp does not endorse, represent, or guarantee the products, services, or conduct of any Sponsor or Partner
· Any business relationship entered into between a Participant and a Sponsor or Partner is solely between those parties
ScaleUp is not liable for any loss, damage, or dispute arising from a Participant’s interactions with Sponsors or Partners, whether during or after the Program.
To the fullest extent permitted by applicable law:
· ScaleUp’s aggregate liability to any Participant for any claim arising from or related to these Terms, the Program, or the Platform shall not exceed USD $500, limited to demonstrable direct damages only
· ScaleUp is not liable for any indirect, incidental, consequential, special, or punitive damages, including loss of revenue, loss of data, loss of business opportunity, or reputational harm, even if ScaleUp has been advised of the possibility of such damages
· ScaleUp is not liable for the actions, omissions, or conduct of Sponsors, Partners, or other Participants
Nothing in these Terms limits liability that cannot be excluded or capped under applicable law, including liability for fraud or gross negligence.
You agree to indemnify, defend, and hold harmless Cuemby LLC, its officers, employees, agents, and authorized program delivery personnel from and against any claims, damages, losses, costs, and expenses (including reasonable legal fees) arising from:
· Your breach of these Terms
· Your submission of false, misleading, or infringing Content
· Your violation of any applicable law or regulation
· Your conduct during the Program or in connection with Sponsors or Partners
ScaleUp reserves the right to update these Terms at any time. When material changes are made, ScaleUp will notify Participants via email or a prominent notice on the Platform at least 14 days prior to the change taking effect.
Continued use of the Platform or participation in the Program following notice of a material change constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must discontinue use of the Platform and may request deletion of your data under the Privacy Policy.
These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict of law principles.
Any dispute arising from or related to these Terms or the Program that cannot be resolved informally shall be submitted to binding arbitration in Miami-Dade County, Florida, under the rules of the American Arbitration Association, except where local law in a Participant’s jurisdiction mandates an alternative dispute resolution mechanism. Judgment on any arbitration award may be entered in any court of competent jurisdiction.
Parties agree to attempt good-faith resolution by written notice before initiating arbitration. If no resolution is reached within 30 days of that notice, either party may initiate arbitration.
Nothing in this section prevents ScaleUp from seeking injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property rights.
· Entire Agreement. These Terms, together with the Privacy Policy incorporated by reference, constitute the entire agreement between you and Cuemby LLC with respect to the Platform and the Program, and supersede all prior understandings.
· Severability. If any provision of these Terms is held to be unenforceable, the remaining provisions will continue in full force and effect.
· No Waiver. ScaleUp’s failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
· Assignment. You may not assign your rights or obligations under these Terms without ScaleUp’s prior written consent. ScaleUp may assign these Terms in connection with a merger, acquisition, or sale of assets.
· Language. These Terms are drafted in English. In the event of any conflict between an English version and a translated version, the English version shall prevail.
